A dormant company still has to file
A company is generally treated as dormant by Companies House when it has no significant accounting transactions in the period. It must still file annual accounts and a confirmation statement.
Missing these filings can lead to automatic penalties and, eventually, the company being struck off. If you may owe HMRC a return, we will tell you before we file.

In depth
Dormant company accounts explained
A dormant company still has legal filing duties. This is what counts as dormant, what you must file and when it stops being dormant.
What counts as a dormant company?
For Companies House, a company is dormant if it has had no significant accounting transactions in the period. Shares issued at incorporation and Companies House fees do not count. HMRC applies a different test: no trading and no other income such as bank interest.
Do dormant companies have to file accounts?
Yes. Dormant accounts and a confirmation statement must still be filed at Companies House every year. HMRC may also need to be told the company is dormant for Corporation Tax, and it may ask for a CT600 return.
What happens if a dormant company misses its deadlines?
The same late filing penalties apply as for trading companies, from £150 up to £1,500 for private companies. Persistent default can lead to the company being struck off the register.
When does a company stop being dormant?
As soon as it trades, earns income or has a significant accounting transaction, such as buying an asset or paying wages. It then needs full accounts and a CT600 return, and we can move it across.

That is covered by our second fixed fee, for companies with no current activity that did trade previously.
Yes. If it is not needed, you can apply to strike it off the register once the company meets the conditions. We can advise whether closing or keeping it makes sense.
